Welcome to NovaCollabs. These Terms of Service ("Terms") govern your access to and use of the NovaCollabs website and services (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Who we are

NovaCollabs operates a two-sided marketplace that connects brands and creators ("Advertisers") who fund campaigns with creators, clippers and editors ("Creators") who produce content for those campaigns.

2. Accounts

You must provide accurate information and are responsible for activity under your account and for keeping your credentials secure. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You may hold either a Creator or an Advertiser account.

3. Campaigns and submissions

Advertisers set the terms of each campaign, including the payout model (per 1,000 views, or a flat fee per deliverable), budget, platforms, and requirements.
Creators submit content they produce. By submitting, you confirm you have the rights to the content and that it complies with the campaign brief, applicable platform rules, and the law.
Advertisers review submissions and determine approval and, for view-based campaigns, the verified view count that drives payment. Approval decisions are the Advertiser's responsibility.

4. Payments and payouts

Approved earnings accrue to a Creator's balance. Creators request payouts, which are sent manually to the PayPal email you provide, typically within 1–3 business days. You are responsible for the accuracy of your PayPal details and for any taxes on amounts you receive. Advertiser budgets fund Creator payouts. We are not a bank or payment processor and hold no funds on deposit.

5. Prohibited conduct

Fake, bot, incentivized, or artificially inflated views or engagement.
Content that is unlawful, infringing, deceptive, hateful, or violates platform rules.
Circumventing the Service to avoid fees, or misrepresenting your identity or metrics.

6. Content ownership and license

You retain ownership of content you create. You grant Advertisers the rights described in the relevant campaign, and you grant NovaCollabs a limited license to display submission links and metadata for operating the Service.

7. Disputes and verification

NovaCollabs may, but is not obligated to, assist in resolving disputes between Advertisers and Creators. We may use third-party data or platform APIs to verify metrics and may reverse or withhold payouts we believe are based on fraudulent activity.

8. Termination

You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms or that create risk for the Service or other users.

9. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, NovaCollabs is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts paid or payable through your account in the three months preceding the claim.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above, and continued use of the Service constitutes acceptance.
